I write on behalf of SecurityScorecard, Inc. (“SecurityScorecard” or “Company") in my capacity as Associate
General Counsel.
As you know, you were engaged by SecurityScorecard as a contractor beginning in May 2023, and
converted to a full-time employee as Chief Marketing & Strategy Officer in June 2023, until your
. In connection with that engagement, you executed a Contractor Agreement dated

employment "and thereafter, if your employment is discontinued for any reason whatsoever, you agree
to keep strictly confidential all trade secrets and information that Company holds proprietary or
confidential."

14, 2026 letter that Jason Thompson resigned his
position. Thompson resigned after Yampolskiy made a
death threat directed at Mr. Thompson.

Gentlemen,
Apologies for the late-night note. After reflecting on where we are and where | want to go, it's become clear that my current role no longer aligns with my long-term goals.
Over the years, I've led a company to a successful exit, helped tum around a few, lost some battles, and hopefully made a meaningful impact here as well. I'm deeply grateful for the
opportunity to contribute. In the past two years alone, I've had the privilege of launching new products and services, and holding roles including CMO, CSO, GM of MAX, and a few
as needed.
But the time has come for me to pursue my own patfi—to build and run a company with my own team, on my terms. That entrepreneurial drive is a constant pull for me, and | know
be satisfied in a secondary role, no matter how meaningful or high-ranking. | need to take the leap, even if it means risking failure—because if | don't try, | know Il regret it. And if |
continue, | feel | might be disruptive to the status quo.
With that in mind, I'd like to work with Jeff over the next few days to create a smooth and responsible transition plan. I'm committed to helping ensure the company is in a strong pos
moving forward.
